This position may include a flexible or remote work arrangement, but the ideal candidate is located within commuting distance to an EPAM office such as Philadelphia (offices in Newtown (Bucks County), Center City, or Conshohocken), Boston, or New York. Periodic travel to the Philadelphia area will be expected.

What You’ll Do

  • Support mergers and acquisitions activity, strategic investments, and other corporate transactions by working closely with the corporate development team. Draft and edit M&A documentation on tight deadlines. Ability to handle small, less complex M&A deals largely independently, with some support from other internal corporate legal team members
  • Lead legal due diligence for M&A and other strategic transactions
  • Support post-closing integration related activities
  • Support financial transactions, including credit facilities, and intercompany transactions
  • Draft and negotiate corporate contracts including confidentiality agreements and engagement letters
  • Drive continuous legal process improvements in corporate transactions. Develop standard procedures, templates, and forms useful for guiding and serving clients in M&A matters
  • Establish and maintain strong and effective working relationships with other groups involved in the M&A and corporate transactions processes
  • Provide high-quality consultative services and support to internal clients by reviewing and resolving complex day-to-day issues involving corporate governance, compliance, contracts, and other relevant areas, and by promptly turning around high-quality work product
  • Coordinate with internal and external subject matter experts, including external counsel

Requirements

  • JD from an accredited law school with excellent academic credentials
  • Good standing with at least one state bar
  • Minimum 3 years of experience, including as a corporate associate in a top law firm and/or comparable in-house experience as an M&A attorney, with additional experience in general corporate matters
  • Experience leading due diligence for cross-border deals, familiarity with acquisition structures and earnouts, and ability to draft transaction documents for corporate transactions
  • Familiarity with US public company requirements relating to acquisitions
  • Strong written and oral communication skills, especially when explaining contractual and legal issues to business clients
  • Ability to liaise with senior managers and proactively influence where appropriate
  • Sound and practical business judgment
  • Ability to organize, prioritize and manage numerous projects under deadlines in a fast-paced and demanding work environment
  • Expertise building and maintaining strong working relationships with internal clients
  • Ability to provide quick and efficient services with a strong work ethic
  • Responsive and friendly, service-oriented “can-do” attitude
  • Flexible team player, willing to work on a variety of matters

  • Depending on the position, EPAM employees may need to work at a client worksite or an EPAM office.
