Instructure is seeking a highly qualified Contracts Administrator who will be responsible for drafting, structuring and negotiating on a broad range of transactions.

What you will be doing:

  • Oversee the entire contract lifecycle, from initiation to execution and renewal. Develop and implement efficient contract management procedures, including document tracking, compliance monitoring, and reporting.
  • Draft, review and negotiate both customer and vendor contracts including vendor agreements, partnership contracts, licensing agreements, and service contracts. Ensure all contracts comply with relevant legal requirements and organisational policies.
  • Stay abreast of changes in US, EMEA, and APAC contract laws and regulations, ensuring that all contracts adhere to legal standards and mitigate risks for the organisation.
  • Advise internal stakeholders and management on legal implications and risks associated with contractual agreements and propose solutions.
  • Facilitate required approvals with respect to sales bids, long term agreements, and nondisclosure agreements.
  • Work closely with various departments, including finance, procurement, legal, and operations, to facilitate contract negotiations, resolve contractual disputes, and streamline processes related to contract management.
  • Utilise in-depth knowledge of the education sector to tailor contracts to the unique needs and requirements of educational institutions.
  • Collaborate with academic departments, administrators, and faculty to understand specific contractual needs and objectives.
  • Build and maintain positive relationships with vendors, partners, and external stakeholders. Negotiate favorable terms and conditions to optimise value and minimise risks for the organisation.
  • Drive continuous improvement initiatives within the contracts management process, seeking opportunities to enhance efficiency, accuracy, and compliance. Stay updated on industry best practices and emerging trends in contract management.

What we look for:

  • Experience with drafting, reviewing and negotiating different types of contracts, such as master services agreements, license agreements, vendor agreements, and non-disclosure agreements.
  • Knowledgeable and current with standard contract clauses and terminology (e.g., limitation of liability,  indemnification).
  • Experience designing contract templates and business procedures.
  • Experience preparing amendments and exhibits to agreements.
  • Experience with management of high-volume contracts/tasks.
  • Experience using contract management software preferred.
  • Effective communication skills in reading, writing, and crafting of contract language.
  • Exceptional attention to detail and aptitude for high levels of accuracy and precision.
  • High standards of integrity and professionally managing confidential information.

What you need to know / have:

  • Bachelor’s Degree or Paralegal Certificate
  • Minimum of three years of experience working in the education sector, preferably in a legal or contractual capacity.
  • Strong understanding of US. EMEA, and APAC contract law, with the ability to interpret and apply legal principles in a business context.
  • Direct experience reviewing commercial contracts such as NDAs, Service Agreements, Software License Agreements, SaaS Agreement, etc.
  • Proficient with Microsoft toolsStrong record of professional commitment and goal achievement.
  • Comfortable in a fast-paced environment.
  • Excellent communication and writing skills.
  • Capacity to work independently yet collaboratively, managing multiple priorities.
  • International experience preferred (GDPR, international business law).Detail-oriented, organized, flexible.
  • Able to set priorities and juggle multiple demands.
