The Corporate Paralegal will work closely with the General Counsel and internal business teams to assist in managing corporate governance, commercial contracts, compliance matters, and strategic projects that are vital to the continued success of WorkWave. The ideal candidate will bring experience from a corporate environment, ideally within a SaaS or tech company, and have a strong understanding of the legal needs specific to the software industry.
WHAT YOU’LL DO:
- Assist in researching, monitoring, and maintaining an up-to-date tracker of state, federal, and jurisdictional wage and overtime requirements, and collaborate with the Product team to ensure ongoing compliance in product design and functionality.
- Assist with corporate governance, entity management, and compliance for WorkWave’s growing SaaS business.
- Review, draft, and negotiate various contracts, including NDAs, service agreements, and vendor contracts.
- Coordinate contract lifecycle management processes, including tracking renewals and expirations.
- Support the legal team in the preparation and filing of corporate documents, including board resolutions, minutes, and regulatory filings with state and federal authorities.
- Help ensure compliance with data privacy regulations (e.g., GDPR, CCPA) by maintaining documentation and assisting with data protection assessments.
- Develop and maintain legal templates, policies, and training materials.
- Liaise with internal teams and external counsel to support legal projects.
- Work closely with internal stakeholders, including procurement, product, engineering, and sales teams, to ensure legal compliance in various business areas such as product development, licensing, and customer agreements.
- Conduct legal research on matters related to SaaS industry standards, intellectual property, and emerging tech regulations.
- Maintain and organize legal files and documents, ensuring timely and efficient access to critical records.
WHAT YOU’LL BRING
- Bachelor’s degree or paralegal certificate from an accredited program, or juris doctor.
- At least two years of experience as a corporate paralegal, ideally within a technology or SaaS company.
- Familiarity with SaaS agreements, intellectual property (IP) issues, and privacy regulations such as GDPR and CCPA is a plus.
- Proven ability to manage and prioritize multiple projects in a fast-paced environment.
- Strong organizational skills with exceptional attention to detail and the ability to follow through on projects to completion.
- Excellent written and verbal communication skills, with the ability to interact effectively with business teams and external partners.
- A proactive and adaptable approach to legal work with the ability to think strategically and handle complex legal issues.
- Paralegal certification (preferred but not required)
