Sample interview questions
How do you balance a sales team's need to close a deal quickly with the need to protect the company from contractual risk?

I start by identifying the issues that are truly material, such as liability, data protection, security, intellectual property, and regulatory obligations. I then explain the business impact in practical terms, propose acceptable fallback language, and prioritize negotiations so the sales team can keep the deal moving without accepting unmanaged risk.

Describe your approach to negotiating a complex SaaS agreement with a sophisticated enterprise customer.

I review the commercial model, customer requirements, and applicable regulatory considerations before the negotiation begins. During the process, I use approved positions and escalation paths, document decisions clearly, and focus on options that meet the customer’s legitimate concerns while preserving the company’s core legal and commercial protections.

How would you improve a contracting process that has inconsistent terms and frequent negotiation delays?

I would analyze recurring redlines, approval bottlenecks, and deal-stage data to identify the highest-impact issues. I would then update templates and playbooks, create clear guidance for sales, and implement structured intake and escalation workflows through the contract lifecycle management system.

How do you explain contractual limitations or risk issues to non-legal stakeholders?

I avoid legal jargon and connect the issue to a business outcome, such as revenue exposure, delivery commitments, security obligations, or operational cost. I provide a concise recommendation along with practical alternatives so stakeholders can make an informed decision quickly.

What role can AI tools play in commercial legal workflows, and what controls would you apply?

AI can help summarize redlines, identify clause deviations, organize contract data, and accelerate first-pass research or drafting. I would use it within approved tools and workflows, protect confidential information, validate outputs carefully, and retain human legal judgment for risk decisions and final advice.
