Sample interview questions
How do you balance closing a strategic SaaS deal quickly with protecting the company from legal risk?

I begin by identifying the non-negotiable risks, such as liability exposure, data protection, security, intellectual property, and regulatory compliance. I then distinguish those from negotiable commercial preferences, explain trade-offs clearly to stakeholders, and propose practical fallback language that preserves the deal timeline without compromising essential protections.

Describe your approach to negotiating a data processing agreement with an enterprise customer.

I first map the parties' roles, categories of data, processing purposes, subprocessor model, security commitments, and international transfer requirements. I use the company’s approved privacy positions as a starting point, assess customer changes against actual product operations, and escalate only material issues that create legal, operational, or regulatory risk.

What experience do you have with enterprise software and licensing agreements?

I have experience reviewing and negotiating agreements involving subscriptions, software licensing, professional services, reseller arrangements, and customer procurement terms. My focus is on translating the product and commercial model into clear provisions on scope, fees, usage rights, service levels, warranties, liability, and termination.

How would you work with Sales when a customer requests a non-standard limitation of liability?

I would understand the customer’s underlying concern and the commercial importance of the opportunity before assessing the requested exposure. I would offer structured alternatives, such as targeted carve-outs, revised caps, insurance-backed positions where appropriate, or reciprocal protections, and clearly document the approved business decision.

How have you used AI tools to improve legal operations or contracting workflows?

I use AI tools responsibly for tasks such as summarizing contract changes, generating first-pass issue lists, comparing clause language, and organizing negotiation preparation. I validate all output against source documents and legal standards, maintain confidentiality safeguards, and use the time saved to focus on judgment-intensive negotiation and stakeholder advice.
