Sample interview questions
I have extensive experience negotiating NDAs and engagement letters for asset management clients. For example, I reviewed and revised confidentiality provisions, fee structures, and liability clauses to align with client interests while ensuring compliance with SEC regulations.
I prioritize by urgency and complexity, use checklists to track key terms, and leverage document management software. I also communicate regularly with deal teams to ensure alignment and address any issues promptly.
In a recent transaction, there was a dispute over indemnification scope. I analyzed precedent and regulatory guidelines, proposed a compromise that capped liability but included broad coverage for specific risks, which both parties accepted.
I maintain up-to-date knowledge of relevant regulations (e.g., Dodd-Frank, AIFMD) and collaborate with compliance teams. I also use template reviews and peer check-ins to ensure consistency.
I am drawn to the flexibility and exposure to diverse clients at Axiom. This role allows me to deepen my expertise in investment management while working on challenging projects, and it aligns with my goal of advancing to a senior legal counsel position.
