Sample interview questions
How do you approach negotiating a commercial agreement when the business team needs a fast turnaround?

I first identify the deal’s commercial importance, timeline, and non-negotiable risk areas. I use approved playbooks and fallback positions where possible, clearly explain material trade-offs to stakeholders, and focus negotiation time on provisions with meaningful legal, financial, or operational impact.

Describe how you would improve a contract intake and ticketing process.

I would assess request types, volume, turnaround times, bottlenecks, and recurring negotiation issues. I would then introduce structured intake fields, triage rules, templates, ownership tracking, service-level expectations, and reporting so the legal team can prioritize work and reduce repetitive requests.

What clauses do you consider particularly important in a customer or vendor agreement?

The key clauses depend on the transaction, but I closely review scope, fees and payment, term and termination, liability limitations, indemnities, confidentiality, intellectual property, data protection, warranties, compliance obligations, and dispute resolution. I align these provisions with the company’s risk tolerance and operational capabilities.

How would you handle a stakeholder who wants to accept contract terms that create significant legal risk?

I would explain the risk in clear business terms, including likely impact, probability, and available alternatives. If the stakeholder still wishes to proceed, I would document the issue, seek the appropriate internal approval, and work to mitigate the exposure through other contractual or operational safeguards.

How do you stay effective when supporting stakeholders across multiple time zones?

I use clear written updates, well-documented contract status tracking, and agreed communication channels to keep matters moving asynchronously. I prioritize urgent issues, set realistic expectations on turnaround, and schedule focused meetings when real-time discussion is needed for complex negotiations.
