Sample interview questions
How do you approach the first-pass review of a customer MSA?

I start with the company playbook and approved template positions, then review key risk areas such as limitation of liability, indemnification, confidentiality, data protection, payment terms, governing law, and termination. I resolve standard deviations where authorized, clearly summarize material issues, and escalate items outside the approved risk framework.

Describe how you would improve a disorganized contract repository.

I would first inventory existing agreements and define a consistent taxonomy covering entity, contract type, counterparty, effective date, renewal date, owner, and execution status. I would then apply naming conventions, access controls, version management, and a calendar for renewal and obligation tracking, while establishing an intake process to keep the repository current.

How would you manage multiple urgent contract requests from Sales while maintaining quality?

I would triage requests based on deal stage, revenue impact, deadline, and legal risk, then communicate expected turnaround times early. For routine agreements, I would use approved templates and playbooks; for non-standard provisions, I would document the issue and promptly obtain direction from the General Counsel.

What factors would you flag when reviewing data privacy provisions in a SaaS agreement?

I would check the parties' roles, permitted processing purposes, security obligations, subprocessors, cross-border transfer requirements, breach notification, audit rights, data retention and deletion, and alignment with applicable requirements such as GDPR or CCPA. I would also ensure the provisions align with the company’s actual security and operational commitments.

How do you communicate a legal risk to a non-legal stakeholder such as a sales leader?

I explain the practical business impact in plain language, identify the clause or issue creating the risk, and offer approved alternatives whenever possible. My goal is to help the stakeholder make an informed decision while preserving the company’s liability position and keeping the deal moving.

About this role.

About Teramind

Teramind is a global leader in workforce analytics, insider threat detection, data loss prevention (DLP), and business process optimization. We help organizations of all sizes protect sensitive data, ensure compliance, and optimize workforce performance. Our platform is trusted by enterprise clients across financial services, healthcare, government, and technology sectors worldwide.

About the Role

Teramind is growing rapidly, and so is the legal work required to support that growth. Our General Counsel manages a high volume of enterprise contracts, vendor agreements, compliance requirements, and commercial negotiations across North America, EMEA, and APAC. We are looking for a highly organized, proactive Law Clerk or Paralegal to serve as her right hand, taking ownership of operational legal tasks, enabling faster contract throughput, and ensuring no ball gets dropped.

This is a high visibility role in a lean, fast-moving legal function. You will work closely with the GC on everything from first pass contract review to research, documentation, and cross-functional coordination with Sales, Finance, and HR.

Key Responsibilities

  • Review, draft, and redline commercial agreements including MSAs, SOWs, NDAs, vendor contracts, and SaaS subscription agreements
  • Support the General Counsel in managing the contract pipeline: tracking status, deadlines, open items, and follow-ups
  • Conduct initial review of incoming customer and vendor contracts; flag non-standard terms and escalate as appropriate
  • Maintain and organize the contract repository; ensure executed agreements are filed, version-controlled, and accessible
  • Coordinate with outside counsel: prepare documents, manage communications, and track billing
  • Support responses to fraud inquiries, subpoenas, regulatory requests, and government correspondence
  • Assist with employment-related documentation including offer letters, severance agreements, and policy updates in coordination with HR
  • Conduct legal research on topics including data privacy, cross-border regulatory requirements, and SaaS commercial norms
  • Support the GC in educating internal stakeholders (particularly Sales) on contract standards, liability positions, and acceptable terms
  • Assist in maintaining and updating legal playbooks, contract templates, and standard operating procedures
  • Manage and organize legal holds and related documentation

Qualifications

Required:

  • Paralegal certificate, law degree, or J.D. (non-practicing or pre-bar)
  • 2–5 years of experience in a legal, law firm, or in-house corporate legal environment
  • Strong working knowledge of commercial contract structures and common SaaS agreement terms
  • Experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor agreements
  • Exceptional written and verbal communication; ability to translate complex legal concepts for non-legal audiences
  • Highly organized with strong attention to detail and ability to manage multiple priorities simultaneously
  • Proficiency with contract management tools, document management systems, and Microsoft Office / Google Workspace

Preferred:

  • Experience supporting a General Counsel or senior attorney in a tech or SaaS company
  • Exposure to data privacy regulations (GDPR, CCPA, SOC 2 context, HIPAA)
  • Familiarity with cross-border commercial agreements (EMEA, APAC)
  • Experience with e-signature platforms (DocuSign, Adobe Sign) and CLM tools
  • Background in or exposure to cybersecurity, DLP, or workforce analytics industries

What Success Looks Like in Year 1

  • Contract turnaround time reduced from 3–5 days to same-day or next-day for standard agreements
  • GC’s time freed from first pass review and administrative coordination, redirected to strategic legal matters
  • Outside counsel spend meaningfully reduced
  • Contract repository fully organized and maintained
  • Sales team supported with faster legal responses, reducing deal friction and limiting exposure to unfavorable commercial terms
