Sample interview questions
How do you balance legal risk with the need to close a strategic SaaS deal quickly?

I begin by identifying the non-negotiable risks, such as unacceptable liability exposure, unlawful data use, or commitments the business cannot operationally support. I then prioritize issues by materiality and propose practical alternatives, such as scoped obligations, implementation limits, or revised commercial language, so the deal team has clear options rather than a simple rejection.

Describe your approach to reviewing customer data-use terms when the company relies on third-party data sources.

I map the proposed customer rights and restrictions against the rights obtained in upstream data-acquisition and vendor agreements. I confirm that downstream commitments do not exceed permitted uses, retention periods, disclosure rights, or security obligations, and involve privacy, product, and data-licensing counsel early when the terms create uncertainty.

What steps would you take to improve a high-volume commercial contracting process?

I would analyze recurring redlines, approval bottlenecks, turnaround metrics, and escalation themes. Based on those findings, I would update templates and playbooks, define fallback positions and approval thresholds, and use contract automation or AI review tools for repeatable issues while retaining attorney review for material risk.

How have you advised a sales team on privacy requirements such as CCPA/CPRA, GLBA, or FCRA?

I translate legal requirements into clear contract positions and operational commitments, including data roles, permitted purposes, security measures, audit terms, and restrictions on use or disclosure. I also explain the business rationale to sales stakeholders so they can communicate boundaries confidently and avoid making unsupported commitments.

How do you manage multiple negotiations with competing deadlines and ambiguous facts?

I triage matters based on revenue impact, legal exposure, customer timing, and dependencies. I establish the critical facts quickly, communicate risks and expected turnaround times to stakeholders, and document decisions and escalation points so that negotiations continue moving even when information is incomplete.
