Sample interview questions
How do you balance legal risk with the need to close a time-sensitive SaaS deal?

I start by identifying the provisions that create material exposure, such as liability, security, privacy, IP, payment, and termination. I use approved fallback positions and escalation criteria to resolve lower-risk points quickly, explain the business impact of meaningful deviations in plain language, and work with sales to preserve momentum without accepting unmanaged risk.

Describe your approach to negotiating a data processing agreement with an enterprise customer.

I first map the proposed processing activities, data categories, roles, security obligations, subprocessors, cross-border transfer requirements, and breach-notice commitments. I compare the customer paper to the company’s approved DPA and security posture, negotiate toward operationally supportable obligations, and involve privacy or security specialists when an issue exceeds established guidance.

What metrics would you use to improve a contract-management process?

I would track contract-cycle time by agreement type and stage, deviation rates from standard paper, escalation volume, turnaround time, bottleneck sources, playbook adoption, and executed agreement quality. I would use these data to prioritize template, intake, workflow, training, and automation improvements that have measurable impact on sales velocity and risk control.

How have you used AI tools in commercial legal work while ensuring accuracy?

I use AI for bounded tasks such as summarizing redlines, generating issue lists, drafting first-pass language from approved guidance, and organizing recurring intake information. I validate every output against source documents, company policy, and the specific deal context, and I avoid relying on AI for final legal conclusions without human review.

How would you handle disagreement between a sales leader and a legal stakeholder about a contract concession?

I would clarify the customer requirement, commercial upside, legal exposure, and available alternatives. I would present a concise options-based recommendation, including the risk and operational consequences of each path, then escalate under the agreed decision framework if needed. My goal would be a documented decision that supports the business while keeping ownership of risk clear.
