JOB SUMMARY:
The position is responsible for developing, implementing, and managing the company’s compliance program to ensure adherence to laws, regulations, and ethical standards, both within the United States and wherever the organization does business internationally. The Chief Compliance Officer also promotes a culture of ethics and integrity within the organization, ensuring that the organization operates within the boundaries of the law and maintains a strong reputation. This individual may be responsible for direct supervision of other Legal Staff; and assisting the SVP & General Counsel in the management of the Legal Department.
 
JOB ROLES AND RESPONSIBILITIES:
 
1. Developing and Implementing a Compliance Program for a public company. This includes creating, updating, and maintaining a comprehensive compliance program that addresses relevant laws, regulations, and ethical standards.2. Risk Assessment and Management. Identifying potential compliance risks, assessing their impact, and developing strategies to mitigate those risks.3. Policy Development and Enforcement. Creating, reviewing, and updating company policies and procedures related to compliance, ensuring they are effectively communicated and enforced throughout the organization.4. Training and Education. Developing and delivering training programs to educate employees on compliance requirements, ethical standards, and company policies.5. Monitoring and Auditing. Implementing systems for monitoring compliance, conducting regular audits, and investigating potential violations.6. Reporting and Communication. Providing regular reports to senior management and the Board of Directors on the status of the compliance program, including identifying risks, incidents, and corrective actions.7. Liason with Regulatory Bodies. Serving as the primary point of contact for external regulatory agencies and managing interactions related to compliance.8. Promoting Ethical Conduct. Fostering a culture of ethics and integrity within the organization, ensuring that employees understand and adhere to the company’s code of conduct. 9. Provide counsel and supervision within the Legal Department in the handling of the most complex or sensitive issues facing the Company effectively and efficiently. Utilize resources such as other lawyers, administrative support personnel, personnel from other departments, and outside counsel or experts if required.10. Assist the SVP & General Counsel and senior members of the department in the management and leadership of the Legal Department and its staff.11. Oversee and review the work of other department staff relating to safeguard of the Company’s interests.12. Comply with the ethical standards of the profession.13. Provide excellent customer service to internal customers and strive to continuously improve service delivery.14. Supervise, select, develop, and evaluate other in-house counsel and staff to ensure the efficient operation of department. Direct the activities of attorneys, administrative and paralegal staff.15. Collaborate, coordinate, and communicate across disciplines and departments.16. Ensure compliance with HIPAA regulations and requirements.17. JOB SCOPE:
The incumbent in this position works independently under little or no supervision and with considerable discretion to make decisions that affect the day-to-day operations within the department and the organization. The incumbent holding this position will have significant impact on the overall departmental and divisional strategy and image, and will be responsible, along with the SVP and General Counsel and senior members of the legal department, for the quality and effectiveness of service provided to the organization’s customers by the department. The incumbent must apply comprehensive knowledge of principles, practices, and procedures to complete job responsibilities. The incumbent acts as a resource for all Legal Department members (including AGCs, Senior Counsel, Associate Counsel, Assistant Counsel, Paralegals, and other Legal Department staff) as well as other departments within the organization. Work requires basing decisions on sound logic and rationale; advancing problems or issues toward resolution when encountering ambiguity or uncertainty; choosing the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; making timely decisions on problems and issues requiring immediate attention; and making sound decisions on complex functional issues and problems. The incumbent will regularly interact with the SVP and General Counsel and is responsible for escalating issues when advisable. Contacts may include clients, providers, individuals, regulators, outside counsel, other vendors, and their legal representatives. This is a people management job with authority for all HR actions (hiring, terminations, discipline, training, etc).

Qualifications

JOB REQUIREMENTS (Education, Experience, and Training):
 
* Minimum Bachelor’s Degree in related field. Juris Doctorate preferred.* Minimum 15 years’ experience as a compliance officer or work experience in a substantially related field with healthcare focus.* Experience with regulatory agencies and administrative experience with state insurance regulations and HIPAA is preferred.* Experience with privacy and security regulations and policies. * Required licenses, professional certifications, and/or Board certifications as applicable* Knowledge of contract law and state and federal healthcare laws* Knowledge of networks and/or cost containment and/or health insurance and/or managed care industry* Analytical, communication, contract drafting, negotiation, presentation, people management, meeting management, and problem solving skills * Ability to build and maintain rapport with clients, superiors, peers, and external company contacts* Sound judgment* Ability to drive execution * Ability to handle long-term and/or complex legal projects with significant financial or other business impact. * Ability to manage outside counsel * Ability to write reports, business correspondence, and procedure manuals* Ability to effectively present information and respond to questions from groups of managers, clients, or employees* Ability to represent the company in a positive and professional manner* Ability to perform multiple tasks simultaneously and adapt to changing priorities in a positive and professional manner* Ability to use software, hardware, and peripherals related to job responsibilities* Individual in this position must be able to work in a standard office environment which requires sitting and viewing monitor(s) for extended periods of time, operating standard office equipment such as, but not limited to, a keyboard, copier and telephone

 
The salary range for this position is $175-290K. Specific offers take into account a candidate’s education, experience and skills, as well as the candidate’s work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
