Sample interview questions
In my previous role as Senior Counsel at a technology company, I led negotiations for a multi-million dollar software procurement agreement. I managed the entire contract lifecycle, aligned internal stakeholders on risk priorities, and negotiated favourable terms on liability, IP ownership, and data protection. The deal closed on schedule and resulted in a long-term partnership.
I have advised on privacy and cybersecurity by conducting risk assessments for new vendor agreements, ensuring compliance with GDPR and CCPA, and drafting data processing addendums. I also collaborated with IT security teams to develop incident response plans and advised on breach notification obligations, ensuring the business remained compliant while minimising operational disruption.
I balance legal risk by first understanding the business's strategic goals and risk appetite. I then provide practical options that mitigate high-level risks while allowing the deal to proceed. For example, rather than rejecting an aggressive liability cap, I might propose alternative risk-sharing mechanisms like insurance or extended warranty terms. This approach enables commercial outcomes while protecting the company's interests.
I once noticed our procurement team was repeatedly using outdated contract templates, causing delays. I took the initiative to revise the templates, incorporating common clauses and fallback positions based on past negotiations. I also created a contract playbook and training sessions for the team. This reduced contract review time by 30% and increased consistency across deals.
I manage multiple priorities by using a structured approach: I assess urgency and impact, communicate with stakeholders to set clear expectations, and leverage available resources such as paralegals or external counsel when appropriate. Regularly reviewing my workload ensures I can pivot to emerging issues without compromising the quality of my work on existing matters.
