Sample interview questions
I first identify the provisions that present material legal, financial, security, or regulatory exposure and distinguish them from lower-risk negotiating points. I explain the business impact and available options in concise terms, then work with the sales owner to develop practical fallback positions that protect core interests while preserving deal momentum.
I begin by understanding the product, commercial model, customer use case, and stakeholder priorities. I then focus on key areas such as scope, data protection, security, limitations of liability, indemnities, service commitments, intellectual property, and termination rights, using a clear negotiation strategy and escalating only decisions that require broader business input.
I use standardized templates, playbooks, approval matrices, and contract-intake processes to route routine issues efficiently. For nonstandard matters, I prioritize by deal value, risk, and timing, provide actionable guidance to sales teams, and use recurring trend analysis to improve templates and reduce repeat negotiation friction.
I assess how customer and company data will be processed, transferred, secured, retained, and deleted under the proposed arrangement. I coordinate with privacy, security, and product partners to ensure appropriate contractual commitments, including data-processing terms and provisions aligned with frameworks such as GDPR, CCPA, and LGPD.
I would set clear service-level expectations, escalation criteria, and playbooks while creating regular channels for coaching and knowledge sharing. I would track workload, turnaround times, and recurring negotiation issues, then use those insights to allocate resources, strengthen training, and improve the commercial contracting process.

Job Title: Senior Commercial Counsel
Department: Legal
The Legal team at Signifyd plays a critical role in enabling and protecting the business as it scales. Our team is responsible for drafting and negotiating sales and vendor contracts, reviewing privacy and data protection matters, and supporting product development. We work closely with the Sales, Partnerships, Product, Revenue Operations (RevOps), and Finance teams to help drive business objectives forward. By shaping processes that accelerate deal cycles, we help keep the commercial flywheel turning. At the same time, we ensure Signifyd’s risk exposure is carefully managed and our sensitive data is safeguarded through robust contractual protections.
The Role:
This is a unique opportunity to join a dedicated legal team and work at the forefront of helping deliver fraud detection and prevention solutions to merchants around the world. Signifyd is seeking a Senior Commercial Counsel to join our Legal team and report to our Head of Commercial Legal. You will be responsible for reviewing, drafting, revising, negotiating, and advising on a broad range of complex commercial transactions — someone who gets deals done. You’ll primarily support our global sales team to structure, draft, and negotiate a variety of go-to-market agreements, while also leading a team of contracts managers who support the Sales organization across the U.S., EMEA, Mexico, and Central and South America.
In addition to go-to-market work, you’ll partner closely with other key stakeholders to structure and negotiate complex, often bespoke agreements for enterprise and strategic partnership engagements. The ideal candidate is a mid-level to senior attorney who enjoys close collaboration with legal and sales colleagues and approaches legal issues practically, with a problem-solving mindset. Experience with payments, fintech, or machine learning is a plus.
Responsibilities:
- Independently draft and negotiate complex subscription agreements and partnership deals, working closely with our Sales organization to close revenue deals
- Supporting a go-to-market portfolio of ecommerce merchants across the U.S., EMEA, Mexico, and South America
- Support cross-functional teams — including Marketing, Partnerships, and Product — on commercial and vendor transactions
- Assist with additional legal projects as needed to support Signifyd’s rapid growth and expansion
- Manage numerous projects simultaneously against competing deadlines and pressures
- Exercise sound legal judgment and solve problems in a practical, business-minded way
Requirements:
- Juris Doctor (JD) degree and active admission to at least one U.S. state bar.
- 5-10+ years of experience, with a strong preference supporting a SalesOrganization and background in commercial and tech transactions and revenue-generating deals
- A clear, concise communicator who can explain complex and nuanced issues in plain, simple terms
- Experience supporting a global sales organization and keeping pace with a steady volume of commercial transactions in a fast-paced, high-growth environment
- Strong organizational and project management skills
- Comfortable working in lean teams and wearing multiple hats
- Able to successfully manage workload and priorities with minimal oversight
- An approachable team player, problem-solver, and good sense of humor
Nice to have:
- Familiarity with payments, fintech, or financial institutions, and/or machine learning models
- Experience supporting sales for enterprise SaaS, especially negotiating referral and partnership deals
- Experience with global privacy frameworks (e.g. GDPR, CCPA, LGPD)
