Sample interview questions
I first identify the customer's business objectives and separate essential risk issues from drafting preferences. I assess the requested changes against internal risk positions, propose commercially workable alternatives, and escalate only material issues with a concise explanation of risk and options.
I review scope of rights, fees, service levels, intellectual property ownership, confidentiality, privacy and security obligations, liability limitations, indemnities, warranty terms, termination rights, and applicable law. I also ensure the commitments are operationally deliverable by the business.
I would clarify the submission deadline, required terms, and decision owners, then prioritize the highest-risk provisions and coordinate a clear review process. I would provide practical guidance and approved fallback language so the sales team can respond quickly without making unapproved commitments.
They affect contract terms on data processing, security controls, breach notification, international transfers, audit rights, and allocation of responsibilities between parties. I translate the applicable requirements into clear contractual obligations while working with privacy, security, and delivery teams to confirm feasibility.
I prioritize work by transaction urgency, revenue impact, legal risk, and customer commitment deadlines. I communicate expected timelines early, document decisions and risk ownership, and facilitate focused discussions when stakeholders need to reach a cross-functional decision.
