About this role.
Discord has a highly engaged community of millions of daily active users who use the platform for many different reasons, but there’s one thing that nearly everyone does: play video games. Discord plays a uniquely important role in the future of gaming, and we are focused on making it easier and more fun for people to hang out before, during, and after playing games.
Discord’s Commercial & Marketing Legal (CoMa) team is the legal engine behind Discord’s revenue and partnership business. We partner with Global Partnerships, Developer & Platform Solutions, Corporate Strategy, Ad Solutions, Data Science, AdTech, Marketing, and Procurement to structure and close the deals that bring games, creators, and brands to Discord’s community. As Associate Commercial Counsel, you’ll be a key advisor for integrating Discord’s social features into games, enabling in-game commerce and digital collectibles, and building new monetization models alongside some of the biggest names in gaming and entertainment. You will also support our marketing and events teams on creative endeavors that promote Discord in the industry and to users. You’ll handle a high volume of deals with real ownership, and you’ll help shape how Discord approaches new partnership types at scale. This person will report to the Managing Counsel, Commercial & Marketing Legal.
What you’ll be doing:
- Draft, negotiate, and close a high volume of commercial agreements. These include Advertising, API and SDK integration agreements, commerce and in-app purchase agreements, and ad tech related transactions.
- Negotiate IP licensing agreements with game, anime, and entertainment licensors for digital collectibles and in-app content.
- Review, advise on, and support sponsorship and marketing efforts.
- Structure novel monetization and revenue models, such as virtual currency, bundled subscriptions, rewards programs, and revenue share.
- Support payments and platform agreements, including payment processors, gift card distribution, and app store and developer program terms.
- Build and maintain scalable templates, playbooks, and self-serve processes, including simplifying complex agreements into modular, easy-to-use forms.
What you should have:
- A JD and active membership in good standing with at least one U.S. state bar. You also need to be eligible to register as in-house counsel in California.
- At least 4 years of commercial transactional experience, with a combination of top law firm and/or in-house experience at a technology company preferred.
- Experience drafting and negotiating complex commercial agreements, such as technology licensing, platform integrations, and revenue partnerships.
- Experience with advertising, gaming, digital media, data privacy and consumer internet.
- Understanding of privacy principles, especially with respect to commercial agreements involving the transfer or personal information.
- Familiarity with marketing legal issues, including copyright, privacy, and consumer protection principles.
- The ability to manage a high-volume docket while prioritizing effectively and meeting business timelines.
- Sound business judgment and the ability to give practical, risk-calibrated advice in fast-moving, ambiguous situations.
- Excellent communication skills, with the ability to translate complex legal issues for non-lawyer stakeholders and run with work independently.
Bonus points:
- Familiarity with payments, virtual currency, or subscription and bundling arrangements.
- Experience with international or APAC counterparties.

Sample interview questions
I would first identify the commercial objectives, technical dependencies, data flows, IP ownership, user experience requirements, and launch timeline. I would then prioritize key risk areas such as scope of license, API and SDK usage restrictions, security and privacy obligations, liability allocation, content moderation, termination rights, and operational support. My goal would be to give the business a workable agreement that enables launch while documenting clear ownership and accountability.
I triage matters based on revenue impact, strategic importance, regulatory risk, urgency, and deal complexity. For repeatable transactions, I rely on approved templates, clause libraries, playbooks, and clear escalation rules. I also maintain transparent communication with stakeholders about timelines, unresolved risks, and decisions needed to keep deals moving.
I would map the categories of personal information involved, the parties' roles, permitted purposes, retention, security controls, onward transfers, and applicable consent or notice requirements. I would ensure the agreement contains appropriate data-processing terms, restrictions on secondary use, incident-notification obligations, audit or assurance rights where appropriate, and a clear allocation of compliance responsibilities. I would also assess whether the proposed use aligns with the product's user expectations and internal privacy commitments.
I would work with the team early to understand the program mechanics, redemption model, user eligibility, geographic availability, promotional claims, and whether value can be transferred or exchanged. I would assess consumer protection, payments, unclaimed-property, promotional, tax, privacy, and platform-policy considerations, then provide practical options to reduce risk. The advice would aim to preserve the product vision while creating clear terms, disclosures, and operational controls.
When explaining a complex issue, I start with the business decision that needs to be made rather than legal terminology. I outline the relevant risk in plain language, explain the likely impact and probability, and present practical options with recommended next steps. This approach helps stakeholders make informed decisions quickly while ensuring material risks are appropriately documented and escalated.
