The role, at a glance.
Zapier is hiring a US-remote Legal Counsel to provide hands-on support for procurement, vendor contracting, and mid-market commercial sales transactions. The role owns legal intake, NDAs, SaaS and services agreements, DPAs, MSAs, and cross-functional legal ticket responses. It also serves as a key operator for improving legal-team automation and AI workflows, including Zip and Ironclad processes. Candidates need a JD, active US bar membership, and 4–8 years of relevant commercial, operational, or corporate legal experience. Success requires practical risk judgment, strong contract negotiation, clear remote-first writing, and independent prioritization in a fast-moving SaaS environment.

Sample interview questions
I begin by identifying the provisions that create material legal, financial, security, or operational exposure, then distinguish them from lower-risk points where flexibility is appropriate. I explain the practical impact of each issue in plain language, offer workable fallback language, and escalate only when the remaining risk exceeds agreed business thresholds.
I would first map the current intake process, measure common request types, turnaround times, escalation points, and recurring negotiation issues. I would then prioritize structured intake questions, risk-based routing, approved templates and playbooks, and human-reviewed AI assistance for summarization or issue spotting, while maintaining controls for confidentiality, accuracy, and auditability.
I assess the business use case, data involved, service criticality, implementation dependencies, and exit requirements before reviewing the agreement. I focus negotiations on data protection, security obligations, liability allocation, indemnities, service levels, intellectual property, payment terms, and termination assistance, while aligning the final position with the stakeholder's operational needs.
I would translate the requirement into the business activity it affects, explain the practical risk and timeline, and provide clear recommended actions with accountable owners. Rather than delivering a purely legal memo, I would use concise guidance, decision points, templates, and follow-up support so teams can implement the requirement confidently.
I triage matters by legal exposure, business urgency, deadlines, and reversibility of decisions, then communicate priorities and expected timelines early. I keep stakeholders updated through written status notes, use standardized processes for routine matters, and promptly involve subject-matter experts when an issue requires specialized input.

Hi there!
We’re looking for a sharp, practical, and technology-forward lawyer who thinks like a business operator and is eager to develop across a broad range of legal and business problems. This is a hands-on role anchored in procurement and mid-market commercial work, with opportunities to expand into new areas while rethinking how legal work gets done through AI, automation, and systems thinking. The right person will bring a strong analytical and problem-solving mindset, be eager to learn new areas, and thrive in a fast-paced, technology-forward, and intellectually challenging environment. This position provides a great opportunity to lead efforts to incorporate technology, like automation and AI, into legal operations and practice. You will serve as the team’s day-to-day point person for improving our existing automation and AI workflows and helping build the next ones, working closely with the General Counsel and the rest of the legal team.
