Sample interview questions
How do you balance commercial urgency with legal risk when negotiating an enterprise SaaS agreement?

I first identify the non-negotiable legal and regulatory risks, then distinguish them from areas where commercial flexibility is appropriate. I explain the business impact of each option clearly to Sales and the customer, propose practical alternatives, and escalate only the issues that exceed approved risk tolerance.

Describe how you would lead a team while maintaining a significant individual deal portfolio.

I use clear delegation principles, regular deal reviews, and documented playbooks so team members retain ownership of their matters. I reserve my direct involvement for strategic negotiations, escalations, coaching opportunities, and novel issues, while tracking capacity and priorities transparently.

What are the most important issues to address in a complex software or SaaS agreement?

Key issues include scope and service commitments, fees and payment terms, intellectual property rights, data protection, security obligations, limitations of liability, warranties, indemnities, audit rights, termination, and regulatory requirements. I assess these terms together rather than in isolation to ensure the risk allocation is commercially coherent.

How have you improved consistency across a commercial legal function?

I have used data from recurring negotiations to prioritize template improvements, clause guidance, approval matrices, and training for commercial teams. Consistency works best when playbooks are practical, easy to access, aligned with business goals, and reinforced through regular feedback from Sales and Legal.

How would you handle disagreement between Sales leadership and Legal on a high-value deal?

I would frame the discussion around the customer objective, revenue opportunity, downside scenarios, and available mitigations rather than simply saying yes or no. I would make a recommendation tied to the company’s risk appetite, document any approved exception, and ensure decision-makers understand both the commercial value and residual risk.
