Sample interview questions
Describe a complex commercial agreement you negotiated and how you balanced legal risk with the business objective.

I first identified the issues that were genuinely material to risk, such as liability, data use, IP ownership, confidentiality, and termination. I then aligned with the business owner on acceptable trade-offs, proposed practical fallback language, and kept negotiations focused on resolving blockers so the deal could close on schedule.

How do you prioritize multiple time-sensitive contract requests from commercial stakeholders?

I assess each request by revenue impact, closing deadline, risk profile, customer leverage, and whether a standard form can be used. I communicate expected turnaround times early, use playbooks for recurring issues, and escalate only the decisions that require senior legal or executive input.

What approach would you take to improving a contract management platform and related workflows?

I would map the current intake, review, approval, signature, and storage process to locate delays and inconsistent practices. I would then standardize templates and clause guidance, establish clear ownership and approval thresholds, and use platform reporting to measure cycle time, deviation trends, and adoption.

How would you respond when a sales stakeholder asks to accept a customer’s nonstandard liability or indemnity provision to close a deal quickly?

I would clarify the commercial importance of the deal and explain the specific legal and financial exposure in accessible terms. I would offer a structured set of alternatives, such as a liability cap, narrowed indemnity scope, exclusions, insurance alignment, or pricing adjustment, while documenting the rationale for any approved exception.

Why are you interested in commercial counsel work at a data and market-research company?

Commercial counsel work combines rigorous legal analysis with direct business partnership, which is especially compelling in a data-product environment. I am motivated by helping teams create scalable agreements that protect valuable data, enable customer relationships, and support growth without unnecessarily slowing the business.
