About this role.
Salesloft is hiring a Senior Commercial Counsel to strengthen its privacy program and negotiate complex commercial agreements for a B2B SaaS business. This counsel will partner closely with Sales, Deal Desk, Product, Procurement, Finance, and the General Counsel, particularly during high-volume quarter-end periods. Candidates need a J.D., active U.S. bar membership, 5–7+ years of relevant commercial-contracting experience, and practical expertise in GDPR, CCPA/CPRA, and enterprise data-privacy terms.

Sample interview questions
I begin by identifying the clauses that create material legal, financial, privacy, or operational exposure, then distinguish them from lower-risk preferences. I explain the business impact in clear terms, propose workable fallback language, and align quickly with Sales and business owners on acceptable tradeoffs so that negotiations can progress without compromising core protections.
I have helped operationalize privacy requirements through data mapping, policy and process updates, vendor and data-processing reviews, privacy-by-design guidance, and stakeholder training. My approach is to translate GDPR and U.S. state privacy requirements into repeatable workflows that Product, Security, Sales, and Procurement can consistently follow.
I focus on defined processing instructions, security commitments, subprocessor controls, international-transfer mechanisms, breach-notification obligations, audit rights, assistance with data-subject requests, retention and deletion requirements, and appropriate liability alignment. I tailor these provisions to the product’s data flows and the parties’ respective roles.
I would establish clear playbooks, approved fallback positions, intake priorities, and escalation paths before volume peaks. During quarter-end, I would triage matters by risk and deal impact, communicate status transparently, and use standard language wherever possible while reserving focused review for genuinely material deviations.
I assess the use case, data types, customer and vendor roles, model-training rights, security controls, transparency commitments, intellectual-property allocation, and applicable regulatory requirements. I then provide practical contract language and internal guidance that enable responsible product development while preserving customer trust and limiting avoidable exposure.

THE OPPORTUNITY:
At Salesloft, our Senior Commercial Counsel will be a critical member of our lean, high-impact Legal team. This is a dual-mandate role: you’ll start by leading a heavy lift on maturing our privacy program, then shift focus toward commercial deal work as volume ramps into quarter-end. On a day-to-day basis, you will be responsible for the following:
- Lead and mature the company’s privacy program — policies, process, and cross-functional education — partnering closely with our General Counsel and during ramp-up to bring the program to current standard.
- Review, negotiate, and manage to close a variety of complex commercial agreements, including sales contracts, inbound procurement engagements with vendors, master services agreements, DPAs, AI Addendums, NDAs, Statements of Work, and Order Forms.
- Identify contractual and privacy-related risks and recommend practical, business-minded solutions.
- Analyze and advise on issues related to AI, technology development, SaaS licensing, strategic sourcing, software integrations, partnerships, and general commercial contracting.
- Work cross-functionally with Deal Desk, Sales, Procurement, Product, and Finance to ensure contractual terms are compliant with legal, regulatory, and company policy and risk standards — especially around end-of-quarter deal velocity.
- Flex into adjacent legal matters as needed, including employment questions and legal operations support, as part of a small, high-trust team where versatility matters as much as depth.
WHAT WE’RE LOOKING FOR:
- 5-7+ years of experience negotiating SaaS, software licensing, and commercial contracts — including master subscription agreements, DPAs, AI documentation, NDAs, and vendor contracts — with meaningful hands-on privacy program experience (e.g., GDPR, CCPA/CPRA, data mapping, privacy-by-design).
- J.D. degree from an accredited law school.
- Active membership in a United States bar,
- Background in B2B SaaS or high-growth technology companies strongly preferred, with the adaptable, self-directed mindset common among counsel who’ve grown up in fast-moving tech environments.
- Excellent analytical, communication, organizational, negotiation, and drafting skills, including experience negotiating complex IP and data privacy terms with enterprise customers.
- Excellent legal and business judgment, critical thinking, and the ability to manage multiple matters and priorities simultaneously.
- Detail-oriented, resourceful, and energized by end-to-end ownership rather than narrow scope.
- Experience working with enterprise-level Sales teams to meet end-of-quarter deadlines.
- Experience with cloud-based business models and the contracting paradigms that support them.
COMPENSATION:
